Terms and Conditions

Definitions
“Bounce” shall mean a Management System designed for the use by Early Childhood Education Centers allowing them to streamline and manage communication and learning experience with own users. Bounce is provided as Software as a Service (SaaS) platform and can be accessed through the web and mobile applications. Bounce is fully owned and maintained by DARS. DARS is incorporated and registered in the state of Kuwait. The terms (“we”, “us”, “our”, or “DARS”) can be used interchangeably with Bounce throughout this document.
1. “Nursery” shall mean an Early Childhood Education Center that entered into an agreement with DARS or any of its affiliates for the purpose of using Bounce and extend the use of its modules to Nursery users consisting of Nursery staff (including but not limited to: Teachers, Teachers Assistants, Administrators, and Nurses) and enrolled child’s parents.
2. “User” shall mean any Nursery staff (including but not limited to: Teachers, Teacher Assistants, Administrators, and Nurses) or child parent that has been authorized directly and solely by the Nursery to use Bounce as per the terms of agreement entered between the Nursery and Bounce. The term “you” can be used interchangeably with “user” throughout this document.

DARS shall provide one single admin account access to each Nursery at the setup time. DARS will not provide access directly to any additional users.
Nurseries shall provide access to users as they see appropriate.
Users are not allowed to use this platform in any inappropriate, illegal, offensive or unauthorized manner.
Nurseries and their authorized users are responsible for maintaining the confidentiality of their logins details and any activities that occur within their accounts. Nurseries should notify Bounce support team immediately for any unauthorized use of any of the user’s account. You can contact us at support@hellobounce.com

Service Availability & Restrictions
DARS shall endeavor to maintain a high uptime for all our platform users.
From time-to-time Bounce will go under scheduled maintenance and upgrades. In case such events will result in a downtime or restricted access during such time, DARS team will inform Nurseries of such planned downtime at least 48 hours prior to such outages.

Privacy and Data Policy
- DARS does not share Nursery specific information with 3^rd party providers without a prior written authorization from the Nursery.
- Nurseries are solely responsible for all data hosted on our platform. This includes but not limited to: user base data and user created content.

Liability
- DARS is not responsible for any content, information, links created on Bounce that were uploaded or created by any of Bounce users and/or due to untouristed access to Bounce.
- DARS in no event shall be liable to Nurseries, users, or any third party for any indirect, incidental, punitive or other type of damages, including lost profit damages arising from your use of the Bounce.
Nursery responsibilities

Nurseries are fully responsible for identifying users and extending access and login credentials to use Bounce.
Nurseries should maintain an updated list of active and inactive users in the platform at all times. DARS pricing is based on number of active users. DARS is not responsible for adjusting fees due to delay or failure of Nurseries in inactivating any of their users.
1. Nurseries should ensure that accounts are not shared among users. DARS and its affiliates reserve the right to take appropriate actions if such violation occurs including but not limited to requesting composition for damages and/or termination Nursery agreements.

Using Bounce is considered a consent to these Terms and Conditions.
DARS reserves the right to alter or change, amend these Terms and Conditions the way it sees fit at any time. A continued usage of Bounce by the Nursery and users post amendments of the Terms and Conditions is considered approval of these changes.

Intellectual Property Rights
- DARS is the owner of the licensee of all intellectual property rights of Bounce and all such rights are reserved.

Nurseries may not reproduce or reverse engineer any of the Bounce modules or any of its proprietary content.

Governing Law and Jurisdiction
1. Any disputes or claims out of or in connection with the Terms and Conditions shall be governed by and construed in accordance with the laws of Kuwait.
2. The parties hereby submit to the exclusive jurisdiction of Kuwait in relation to any dispute or claim arising out of or in connection with these Terms and Conditions.
